Our Corporate, Commercial and M&A team has considerable experience in the field of M&A transactions, including cross-border deals, from drafting and negotiating commercial contracts to providing general assistance with all aspects of corporate and commercial law.

The firm regularly acts for domestic and international clients both in Italy and abroad. These include listed companies, SMEs and innovative startups across a range of industry sectors, such as construction, energy & infrastructure, engineering, automotive, real estate, banking, finance and aerospace. Our work encompasses:

  • Corporate transactions (including mergers and acquisitions, demergers, capital increases, sales and leasing of companies and business units, and investment agreements). These often involve important cross-border aspects, as well as the drafting and negotiation of ancillary agreements (including letters of intent, binding and non-binding offers, shareholders agreements, lock-up agreements, put and call options, guarantees) and carrying out extensive legal due diligence
  • Drafting and negotiating national and international commercial contracts, including in relation to the procurement of work and services; sale, purchase, distribution and agency agreements; procurement, supply and franchising contracts; leasing agreements; general conditions of sale and purchase; logistics arrangements; toll manufacturing; consignment stock; and agreements for the protection and exploitation of intellectual and industrial property rights, such as licensing and assignment agreements for patents, know-how and technologies, as well as confidentiality agreements, R&D and consortium arrangements.
  • Assisting with all aspects of general corporate and commercial law, including corporate secretarial services (such as drafting the minutes of shareholders meetings and company board meetings), preparing corporate documentation (such as organisational and management models under Legislative Decree 231 of 2001), and advising on the incorporation and management of joint-stock companies.
  • Providing advice on the interpretation and application of legislation relating to the Government’s exercise of its special powers in sectors like defence and national security, energy, transport and communications (the so-called Golden Power)
